Volkswagen agrees up to $3.5bn in additional Rivian financing commitments
The November 2024 agreement combines conditional equity-related tranches with a committed loan alongside the software joint venture.
Rivian and Volkswagen Group finalized their software joint venture agreement on November 12, 2024. Additional commitments included up to $2.5 billion in equity-related investments and a $1 billion loan facility available through the venture, subject to milestones, regulatory clearances and funding conditions.
The wider deal’s $5.8 billion headline also included an earlier $1 billion convertible note and a $1.3 billion payment for intellectual-property licensing. Rivian’s filings identify $500 million of the future equity-related tranches as revenue for joint-venture services.
The venture focuses on vehicle electrical architecture and software. The loan structure is designed to pass funds through a Rivian subsidiary for general corporate purposes.
